Terms of Service

1. Acceptance
By creating an account, accessing, or using Sales Stratix (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding contract between you ("Customer", "you") and Sales Stratix ("Sales Stratix", "we", "us").
By accepting these Terms you specifically confirm that you have read and understood, and agree to:
- Section 4 — that the Service is a paid subscription that renews automatically until you cancel.
- Section 5 — that AI features are metered and consume AI credits, that any credits you purchase are non-refundable and expire 30 days after purchase, and that AI features stop working when your credit balance reaches zero.
- Section 6 — that per-message WhatsApp and SMS charges are set by Meta and your SMS provider, are billed separately from your subscription, and are not controlled by us.
- Section 8 — the confidentiality and permitted-use restrictions covering the Service's design, features and interface.
2. The Service
Sales Stratix is a software-as-a-service platform that helps businesses in India manage customer relationships, manage their sales teams, targets and incentives, generate marketing content with AI, and run multi-channel campaigns over WhatsApp, email, and SMS. The Service is provided "as is" and may be updated, modified, or enhanced from time to time.
ERP and billing software integration. The Service can connect to your existing ERP, accounting or billing software (for example Tally, Zoho Books, QuickBooks, Xero, Vyapar, or a custom REST endpoint) to import your sales and customer records automatically. If you enable an integration:
- You confirm you are authorised to connect that system and to share the data it contains with us.
- You are responsible for the accuracy of the data it sends. Records imported through an integration are processed the same way as records you upload manually — including customer creation, sales-rep credit, rewards and deal linkage.
- We read data from the connected system in order to sync it into your workspace. We do not write back to your ERP or billing software unless a specific feature says otherwise.
- The connection uses credentials or keys you supply; these are stored encrypted. You can disconnect an integration at any time, which stops all further syncing.
- We are not responsible for outages, data errors, API changes or charges arising from the third-party system itself.
Some Service features depend on third-party providers (Meta, Anthropic, OpenAI, Google (including Firebase Cloud Messaging for app notifications), xAI, Supabase, Resend, AiSensy, MSG91, Razorpay, and any ERP or billing system you choose to connect). Those providers have their own terms; your use of integrated features is subject to those terms as well.
3. Account registration
- You must be at least 18 years old and represent a legitimate business.
- You must provide accurate, current information when registering.
- You are responsible for keeping your password secure and for all activity under your account.
- You must notify us promptly if you suspect any unauthorised access to your account.
- One business entity may operate one or more workspaces under a single account.
4. Subscription, payment, and renewal
- The Service is offered on a monthly or annual subscription, billed in Indian Rupees (INR).
- Current plan pricing is shown inside your account and on the checkout screen before you confirm any payment. We may change pricing on 30 days’ notice; existing paid terms are honoured at the original rate until renewal.
- Subscriptions renew automatically. You can cancel renewal any time from your account settings; the cancellation takes effect at the end of the current billing period.
- Payments are processed by Razorpay. By providing a payment method, you authorise Sales Stratix to charge that method for the subscription fees.
- Failure to pay may result in suspension of access. We will email you before suspending the account.
- Refunds are at our discretion and considered case by case. Generally we do not refund partially used billing periods.
5. AI credits — allowance, purchase, usage and limits
AI features (content generation, image generation, Ask AI analytics, lead scoring, and similar) are metered. Each AI action consumes AI credits from your workspace balance. Non-AI features — CRM, campaigns, forms, team and incentive management — are covered by your subscription and do not consume credits.
Included monthly allowance. Every paid plan includes a monthly allowance of AI credits, which is refreshed at the start of each billing month. Unused allowance credits do not carry over to the next month. The allowance for each plan is shown on the pricing page and in your account.
Top-up credits. If you exhaust your monthly allowance you may purchase additional credits ("top-ups"). You will always be shown the price in INR and the credit quantity before you confirm a purchase. Please note:
- Top-up credits expire 30 days after purchase. Expired credits are removed from your balance and are not restored, refunded, or extended.
- Top-up credits are non-refundable once purchased, including any unused or expired balance.
- Your monthly allowance is consumed first; top-up credits are used only after the allowance is exhausted.
Running out. When your credit balance reaches zero, AI features stop working until your allowance refreshes or you buy a top-up. The rest of the Service continues to work normally. We do not auto-purchase top-ups on your behalf and will never charge you for credits you did not explicitly buy.
Consumption and fair use. Credit cost varies by the AI operation and the size of the request; your current balance and recent consumption are visible in your account at any time. We may apply reasonable rate limits to protect service stability, and may adjust credit pricing or per-operation costs on 30 days' notice. Credits have no cash value, cannot be transferred between workspaces, and cannot be exchanged for money.
6. Per-message costs for WhatsApp and SMS
Sales Stratix subscription fees cover access to the Sales Stratix platform. Per-message delivery costs for WhatsApp and SMS are separate, paid directly by you to the underlying messaging provider (Meta for WhatsApp; MSG91 for SMS).
- WhatsApp marketing conversations: charged by Meta at approximately ₹0.78 per conversation in India (subject to Meta's pricing changes).
- WhatsApp utility conversations: approximately ₹0.115 per conversation.
- SMS: charged by MSG91 at their published per-SMS rate, subject to DLT compliance.
The rates above are Meta's and MSG91's published pricing, shown for reference only. Which WhatsApp message categories you can actually send at any given time depends on the features enabled in your plan and on your own WhatsApp Business Account status with Meta. We add message categories to the Service over time; a category appearing in this pricing list does not by itself mean it is available in your account today.
We do not mark up or take a percentage of these messaging costs. They flow directly from you to the relevant provider via their payment method registered with them.
7. Acceptable use
You agree NOT to use the Service to:
- Send unsolicited messages to recipients who have not opted in to receive them from your business.
- Send content that is illegal under Indian law including but not limited to obscene material, content inciting violence, content promoting fraud, or content infringing intellectual property.
- Send messages on behalf of a brand or business other than your own without authorisation.
- Impersonate another person or business.
- Use the Service to send phishing, malware, or otherwise deceptive content.
- Attempt to reverse-engineer, scrape, or otherwise circumvent the Service or its security.
- Use the Service in a way that violates Meta's WhatsApp Business Solution Provider terms, the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), or any other applicable regulation.
- Resell access to the Service without our prior written consent.
We reserve the right to suspend or terminate your account for material breach of these acceptable use rules. Where the breach also violates Meta's policies, your WhatsApp Business Account may be independently restricted by Meta.
8. Confidentiality and permitted use of the platform
The Service's design, screens, workflows, feature set, AI prompt behaviour, analytics logic and interface are our confidential and proprietary material. Access is granted to you for the purpose of running your own business — and for no other purpose.
While your subscription is active and after it ends, you agree not to:
- Disclose, publish, demonstrate or circulate screenshots, screen recordings, walkthroughs or descriptions of the Service's screens, features or workflows to any third party, other than to your own authorised users.
- Provide access, directly or indirectly, to any competitor of Sales Stratix, or to anyone building or evaluating a competing product.
- Copy, reproduce or reverse-engineer the Service's design, workflows or feature set for the purpose of building a similar product.
- Share login credentials. Each user must have their own account, and access must be limited to devices controlled by your organisation and to employees who need it for their role.
Your own business data is yours. Nothing in this section restricts you from accessing, exporting or sharing your own customer, lead, transaction, employee or campaign data. Some parts of the Service offer a direct CSV download today; where a self-serve download is not yet available for a particular record type, you may request an export at any time by emailing customersupport@salesstratix.com and we will provide your data in a machine-readable format (normally CSV) within 30 days, at no charge. We are expanding self-serve export coverage across the Service.
You are responsible for making your employees and authorised users aware of these restrictions, and you remain responsible for their actions. If we reasonably believe this section has been breached, we may suspend or terminate access. A breach may also entitle us to pursue remedies available under Indian law, including under contract, copyright and trade-secret/confidentiality law, and to claim damages.
9. WhatsApp Business compliance
Because the Service uses Meta's WhatsApp Business Platform, the following additional terms apply when you send WhatsApp messages through Sales Stratix:
- Opt-in is your responsibility, and you must be able to prove it. You represent and warrant that every recipient you message through the Service has given your business permission to contact them on WhatsApp — through a purchase, an enquiry, a signed-up form, or another documented method — and that you have not obtained their number from a purchased, scraped, or rented list.
- You must keep evidence of that permission for as long as you message the recipient. Sales Stratix records a consent decision against each contact (captured when you import them, or declared by the workspace owner) and provides an export of it under Settings → WhatsApp Consent. You are responsible for the accuracy of what you record there.
- Meta may audit opt-in evidence for any WhatsApp Business Account. You agree that Sales Stratix may disclose the consent records held in your workspace to Meta where required to respond to such an audit, to a policy-enforcement action, or to a lawful request.
- You must respect STOP / opt-out replies. Sales Stratix automatically processes opt-outs and will block further marketing messages to opted-out recipients.
- You must not use the Service to send messages that violate Meta's WhatsApp Commerce Policy or Business Policy.
- All marketing message templates must be approved by Meta before sending. Sales Stratix submits templates on your behalf to Meta for review.
- If Meta restricts your WhatsApp Business Account due to quality issues (high block rate, spam complaints), Sales Stratix is not liable for the resulting service impact.
10. Your data and our role as processor
You retain ownership of all data you upload to the Service — customer records, leads, transactions, templates, and campaign content. We process that data as your data processor under your instructions, strictly for the purpose of providing the Service. See our Privacy Policy for details.
You are responsible for ensuring that you have the legal right to upload and process the data of your end-customers (lawful basis under DPDP Act / GDPR / similar regulations). Sales Stratix does not independently verify the lawful basis for your data uploads.
11. AI-generated content
The Service uses generative AI (provided by Anthropic, OpenAI, Google and xAI, depending on the feature) to draft marketing content, generate images, and summarise analytics based on your campaign goal. AI output may occasionally contain inaccuracies, biases, or errors. You are responsible for reviewing AI-generated content before sending it to recipients. Sales Stratix is not liable for any consequences of unreviewed AI-generated content being sent.
We do not claim ownership of the AI output generated for your campaigns. You may use it freely. We access these providers under their business/API terms, which do not permit training on your prompts or generated content.
12. Intellectual property
The Sales Stratix platform, including its source code, design, documentation, and trademarks, is owned by Sales Stratix or its licensors and protected by Indian and international copyright, trademark, and other intellectual property laws. You receive a non-exclusive, non-transferable licence to use the Service during your subscription. You do not receive any rights to modify, copy, redistribute, or create derivative works of the platform itself.
Content you upload (customer records, brand assets, message templates you author) remains yours. By using the Service you grant us a limited licence to process that content solely to provide the Service to you.
13. Service availability and disclaimers
We target high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, third-party outages (e.g. Meta, Supabase), or events beyond our reasonable control. We do not promise that the Service will be error-free.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
14. Limitation of liability
To the maximum extent permitted by Indian law, Sales Stratix's total liability to you for all claims arising out of or related to the Service in any 12-month period shall not exceed the subscription fees you paid to Sales Stratix in that period.
We are not liable for indirect, incidental, special, consequential, or punitive damages including loss of profits, loss of business opportunity, or loss of goodwill, even if advised of the possibility of such damages.
15. Indemnification
You agree to indemnify and hold Sales Stratix harmless from any claims, damages, liabilities, and expenses arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any law or regulation; (c) your violation of any third-party right including any messaging-related complaint by a recipient or regulatory authority.
16. Termination
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account for material breach of these Terms, including non-payment, acceptable-use violations, or fraudulent activity. Where practical, we will give notice before suspension.
- On termination, your access to the Service ends. You can export your data for 30 days after termination. After that, your data is deleted in accordance with our retention policy.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kerala, India.

These Terms are entered into with Sales Stratix Private Limited, a company incorporated on 25 July 2026 under the Companies Act, 2013 with the Ministry of Corporate Affairs (India). References to “Sales Stratix”, “we”, “us” and “our” in these Terms mean that company.
